By-Laws

ARTICLE I.
NAME
This organization shall be known as Fryeburg Fish and Game Association, Inc.
ARTICLE II.
OBJECTIVES.
It shall be the purpose of this Association -

To promote and preserve our area natural resources with emphasis on game animals, birds and fish.

To improve the natural habitat of such animals, birds and fish.
-
To further interest in out-of-door activities with special emphasis on hunting, fishing, archery and the shooting sports.
-
To cooperate with law enforcement agencies in creating and maintaining respect for game laws.
-
To promote and encourage education in safety.
ARTICLE III.
MEMBERSHIP.
Membership shal be open to junion members, 10-15 years old inclusive. Regular members 16 years and up, when sponsored for membership by a member in good standing.
ARTICLE IV.
DUES.
The amount of annual dues for regular and junior members shall be established by vote at the annual meeting and shall be payable on the first day of April each year.
ARTICLE V.
MEETINGS
An annual meeting shall be held on the first Monday of April each year. Regular meetings shall be held on the first Monday of each succeeding month, unless notified by the corresponding secretary. Special meetings may be called on due notice by request of any 10 members.
ARTICLE VI.
QUORUM.
Ten members shall constitute a quorum for the transaction of business at regular and annual meetings.
ARTICLE VII.
OFFICERS AND ELECTION.
The officers of this Association shall be -

The above officers shall constiture the Executive Committee and shall be empowered to assist the president in the conduct of the offical Association business.
The officers are to be elected by written ballot at the annual meeting for a term of one year, and are exempt from paying dues for that elected year. At the March meeting, a nominating committee of three (members or from the executive committee?) shall be appointed to recommend a slate of candidates selected from the membership in good standing to be presented for consideration at the annual meeting in April.
B.
The Board of Directors shall consist of nine directors who shall be elected to serve a term of three years. whith only three directors to be elected each year. The Board of Directors may be called to session at any time with due notice to act for the Association upon matters of urgency that cannot be properly delayed until a regular meetin of membership. Any five directors shall constitute a wuarum work on palnning or research may be assigne to the Board of Directors by the Association in regular session. Record shall be kept and reports theron made to the membership at the next regular meeting. In addition to the nine elected directors the President, Vice President, Recording Secretary, Corresponding Secretary and the Treasured shall be ex-officio member of the Board and the Area Game Wardens shall be honorary members.
ARTICLE VIII.
DUTIES OF OFFICERS.
A. It shall be the duty of the President to preside at all meetings and to assume overall direction of and responsibility for all activities of the Association and it's various committees.
The Vice President shall assist the President in all matter and in the absence of the President shall discharge the duties of said office.
The Recording Secretary shall make and keep records of all meetings, keep a list of all members, furnish a list of all members to the Corresponding Secretary and perform any other duties pertaining to the office.
The Corresponding Secretary shall notify all members of all meetings, be responsible for all outgoing and incoming correspondence and maintain files on the same.
The Treasurer shall receive all dues and any other money obtained by the Association, make disbursements as directed by vote of the membership and maintain all financial records of the Association and/or its committees. Records shall be dept current so that a report may be made at each regular meeting, and an audit shall be made within thirty days prior to the annual meeting. Said audit shall be made by a committee composed of member of the Board of Directors and appointed by the President.
B. ARTICLE IX.
VACANCIES AND SUCCESSIONS.
Should a vacancy occur in the office of President, the Vice President shall automatically become President. A new Vice President shall then be elected by ballot at the next regular meeting. In case of any other vacancy the office shall be fill temporarily by a member of the Board of Directors until a new officer is elected as above at the next regular meeting.
ARTICLE X.
AMENDMENTS AND/OR ALTERATIONS.
Any member may, at any regular meeting of the Association, introduce proposals for change or amendment to these by-laws. After due discussion by the membership a request may be made to table the measure for one month until the next regular meeting. Should the vote be negative the proposed chage or amendment shall be dropped. In case of an affirmative vote the Corresponding Secretary shall be instructed to inform the membership in writing at least one week prior to the next regular meeting of the proposed amendment or alteration. At said next regular meeting the proposal underconsideration shall be put to a vot requiring a two thirds majority of those present in the affirmative for adoption.
Any contingency not specifically provided for in these By-Laws or it's amendments shall be referred to the Board of Directors for disposition.
ARTICLE XI.
If after five years, the Fryeburg Fish and Game Association, Inc. is no longer functional or is inactive, the Associations cash assents are to be given to the State of Maine Department of Inland Fisheries and Wildlife, to be used for the acquisition of wild land in the Fryeburg area. Non-cash assents of the Association may be disposed of at the discretion of the Executive Committee with proceeds to be added to cash assets.

Article 1
"Name and Location"
The name of this organization shall be the Fryeburg Fish and Game Assn., Inc Junior Rifle Club and is located at the Harold N. Sanborn Room (Room 1), Brownfield Recreational Building, Brownfield, ME 04009.
Article 2
"Purpose"
a. The object of this organization shall be the encouragement of organized rifle shooting among citizens of the United States with a view toward a better knowledge on the part of such citizens on the safe handling and proper care of firearms, as well as improved marksmanship.
b. It shall be our further object and purpose to forward the development of those characteristics of honesty, good fellowship, self-discipline, team play and self-reliance which are the essentials of good sportsmanship and the foundation of true patriotism.
Article 3
"Membership"
Any citizen of the United States 10 year of age and under 18 years of age and of good moral character may become a member of this organization on the vote of the Executive Committee and on payment of annual dues accompanied by a completed application.
Article 4
"Dues"
The weekly dues of the organization shall be determined by a vote of the officers and payable at each meeting. Payment may be made in advance.
Article 5
"Meetings"
a. Annual Meetings. An annual meeting of the organization shall be held in September of each year. If the annual meeting should not take place at the time fixed it will be held within a reasonable time thereafter. The officers shall hold over until their successors have been elected.
b. Regular Meetings. The regular business meeting of the organization for the transaction of ordinary business shall be held the first and third Friday of the month (September thru May) at a time and place may be fixed by the Executive Committee.
c. Special Meetings. A special meeting of the organization may be held at any time upon call of the President or upon call of the Executive Committee or upon demand in writing stating the object of the proposed meeting, and signed by no less than 20% of the members entitled to vote. Notice of the time, place and object of such special meeting shall be given to all officers and members in good standing in writing, or by telephone or by e-mail not less than three days prior to the date of the meeting. The place of such a special meeting shall be fixed by the Executive Committee.
d. Quorum. The majority of members present at anyone meeting shall be constitute a quorum, for the transaction of business at any meeting.
Article 6
"Officers and Duties"
The officers of this organization shall be a President, Vice President, Secretary/Treasurer, Range Officer, Statistical Officer and a member-at-large elected to the Executive Committee.
These officers shall constitute the Executive Committee. They shall be elected by majority vote by ballot at the annual meeting of the organization, and hold office for one year or until their successors are elected.
The affairs of the organization shall be managed by the Executive Committee, who shall have general supervision of the activities of the club.
Meetings shall be held at any time on the call of the President and four shall constitute a quorum.
a. President. The President shall preside at all meetings of the organization and the Executive Committee. He/she shall be a member ex-office of all regular and special committees, and shall perform such duties as usually pertain to this office.
b. Vice President. The Vice President shall perform the duties of the President in his/her absence or at his/her request.
c. Secretary/Treasurer.

- The Secretary/Treasurer shall conduct all official correspondence pertaining to the proper preparation and forwarding of all reports required of the organization by the National Rifle Association and by the Director of the Civilian Marksmanship Program.
- He/she shall notify all members of the Executive Committee of the meetings and shall notify all members of special and annual meetings, as required in Article 5.
- He/she shall keep a true record of all the meetings of the Executive Committee and of the organization and have custody of the books and papers of the club.
- All applications for membership shall be made to the secretary.
- He/she shall be responsible for the collection of all fees and dues.
- He/she shall forward to the National Rifle Association annually by January 1st an up to date club roster and the annual dues payment for the club NRA affiliation.
- He/she shall have charge of all funds of the organization. Such money shall only be withdrawn for the payment of such bills and shall have been approved by the Executive Committee.
- He/she shall keep an accurate account of all his/her transactions and render a detailed report with vouchers at any meeting of the Executive Committee when requested and an annual report to the organization at it annual meeting.
d. Range Officer. The duties of the range officer shall be the arranging of matches, control the range during all tournament and matches and be responsible for the general operation and safety of the range.
e. Statistical Officer.

The Statistical Officer shall maintain all records of the match scores, both team and individual, and make sure same is available to any member in good standing upon request.

He/she will be recognized as the official club scorer for all matches.

He/she shall also be responsible for the squadding of the relays in any match or tournament.
Article 7
"Expulsion of members"
Any member whose conduct shall be decided, by a majority vote of the Executive Committee, to have been injurious to the interest or welfare, of the club shall forfeit his membership and rights, but such vote shall not be taken without giving the offender two weeks notice of the charges against him/her and affording him/her an opportunity of being heard in his/her defense.
If expelled, he/she, may appeal from a decision of the committee to the club at a special meeting called for that purpose, but it shall require a two-thirds vote of those present to reverse the Committee’s decision.
a.The National Rifle Association will be notified of any expulsion or suspension of a member with the charges made and action taken.
Article 8
"Indemnification"
The organization shall indemnity officers, agents and members from any and all acts in their respective capacities, to the fullest extents permitted by law.
Within the boundaries of the law, the organization may procure insurance to provide greater indemnification of all such persons.
Article 9
"Rules for Competition"
Any rifle and revolver or pistol competition held by the club will be governed by the rules and regulations laid down by the National Rifle Association of America.
Article 10
"Amendments"
Any of these By-Laws maybe altered, amended, or repealed; additional By-Laws may be adopted by the Executive Committee at any annual meeting or special meeting called for such a purpose, provided such action is proceeded by written notice at least one month prior to said meeting.
A two-thirds majority vote of the members present shall be required to amend these By-Laws.
Article 11
"Vacancies"
A vacancy, however occurring, in any office, shall be filled by the Executive Committee.
Article 12
"Dissolution"
In the case of dissolution of the organization, any monies or assets shall be turned over to the parent organization Fryeburg Fish and Game Association, Inc.
